Reading the forms
Form 1-A is the offering statement for a Regulation A raise, reviewed and qualified by the SEC before sales begin; amendments are 1-A/A, and a 253G2 is a supplement to the circular after qualification. Form 1-K is the annual report, with audited financial statements. Form 1-SA is the semiannual report, unaudited. Form 1-U is a current report for events between them, such as the December 2025 option plan. Form D is the notice for a private Regulation D offering. Correspondence with SEC staff, when present, shows the review questions and the company’s answers.
